Public Offer of Licensing Rights Associated with the Tokenized Work of Dmitry Lipskerov
1. Parties and Intent
This public offer (“Agreement”) is made under the laws of England and Wales by:
Mr. Dmitry Lipskerov (hereinafter, the “Author”),
who affirms the authorship and full intellectual property ownership of the literary work as
described below.
The Author issues this public offer to any person or entity (hereinafter, the “Licensee”) who
satisfies the conditions defined herein.
2. Definitions
2.1 Tokenized Work:
Literary works in the Russian Language authored by Mr. Dmitry Lipskerov, and divided into
uniquely identified fragments according to the following list:

Each such fragment is embodied in a unique non-fungible token (“Individual Token”) compliant
with the ERC-721 standard, deployed on the Base blockchain network.
2.2 Smart Contract Details:
All Individual Tokens comprising the Tokenized Work are issued through the following smart
contract:

(hereinafter, the “Smart Contract”).
2.3 Total Issue:
The complete set of Individual Tokens comprising 100% of the Tokenized Work.
3. Nature of This Agreement
This Agreement constitutes a public offer by the Author.
It shall be irrevocably accepted by any party who meets the conditions outlined in Clause 5 of
this Agreement.
The Author shall not enter into any other agreement transferring, assigning, or otherwise
licensing the Tokenized Work, except as stipulated herein.
4. Scope of Rights Conveyed
Upon fulfilment of the conditions described below, the Licensee shall receive an exclusive,
worldwide license to the Tokenized Work, including the following rights:
- The right to reproduce the Tokenized Work in any form, including print, digital, and audio
formats.
- The right to publish and distribute the Tokenized Work commercially or non-commercially.
- The right to adapt, modify, or translate the Tokenized Work.
- The right to perform the Tokenized Work publicly.
- The right to create derivative works based on the Tokenized Work.
- The right to sublicense the aforementioned rights in whole or in part.
- This exclusive license is granted for the full term of copyright and applies worldwide.
5. Mechanism of Acceptance and Licensing Conditions
5.1 The exclusive license to the Tokenized Work shall be automatically deemed granted upon
the following conditions being jointly satisfied:
- The Licensee must hold in a single blockchain wallet the complete Total Issue of Individual
Tokens.
- The Licensee must prove control of the wallet as defined in Clause 5.2.
5.2 Wallet Control Validation Process:
The Author shall mint and hold a non-fungible token titled “Wallet Access Control” (the “Control
Token”).
- Upon request by a prospective Licensee, the Author shall transfer the Control Token to the
Licensee’s wallet.
- The Licensee shall return the Control Token to the Author within three (3) hours of receipt.
- Timely return of the Control Token shall be deemed conclusive evidence of control over the
wallet containing the Total Issue.
5.3 The Author may, at his discretion, record the acceptance by publishing an
acknowledgement on-chain or via other verifiable public means.
6. Post-License Demonstration and Optional Rights Transfer
6.1 The Licensee may retain the Individual Tokens as proof of their license, and may
demonstrate such rights by reference to this Agreement and the wallet address holding the
Total Issue.
6.2 Alternatively, the Licensee may opt to burn (destroy) the Total Issue of Individual Tokens.
Upon such burn and verified wallet control, the Author shall be obliged to enter into a separate
Deed of Assignment, transferring the full intellectual property rights to the Tokenized Work.
This Deed shall extinguish all of the Author’s residual rights, subject to a confirmation of
destruction of the Total Issue on-chain and validation of wallet control.
7. Governing Law and Jurisdiction
7.1 This Agreement and any non-contractual obligations arising herefrom shall be governed by
the laws of England and Wales.
7.2 The courts of England and Wales shall have exclusive jurisdiction over any disputes arising
from or related to this Agreement.
8. Miscellaneous
8.1 This Agreement is published as a public offer and shall be interpreted in accordance with
the principles of digital contracting and blockchain-native transactions.
8.2 The Author may optionally record the SHA-256 hash of this document and its associated
metadata on-chain to provide evidence of its final form.
Nothing herein shall prevent the Author from offering or creating new Tokenized Works,
provided that no two Tokenized Works shall be based on the same literary material.
This document is deemed signed via issuance of a signature NFT with the following particulars,
which is kept at the verified public address of the author (as evidenced by the corresponding
blockchain records):
